Terms of Service

Agreement to Terms

By accessing or using MagicAssist ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

MagicAssist is a Mission Control dashboard built on top of OpenClaw, an open-source AI agent platform. These Terms govern your use of MagicAssist; OpenClaw is subject to its own license and terms.

Definitions

  • "MagicAssist," "we," "our," "us" refers to the MagicAssist service and its operators
  • "You," "your," "user" refers to the individual or entity using the Service
  • "OpenClaw" refers to the underlying AI agent platform on which MagicAssist is built
  • "Content" refers to tasks, projects, files, comments, and other data you create or upload

License Grant

Self-Hosted License ($149/year)

If you purchase a self-hosted license, we grant you a non-exclusive, non-transferable, revocable license to:

  • Install and run MagicAssist on your own infrastructure
  • Use the Service for your business or personal purposes
  • Access updates and support during your license period

Restrictions:

  • You may not resell, redistribute, or sublicense MagicAssist
  • You may not reverse engineer, decompile, or attempt to extract source code (except as permitted by applicable law)
  • You may not remove or modify any proprietary notices or branding
  • License is valid for one production deployment per license key

Cloud-Hosted Plans ($49-199/month)

If you subscribe to a cloud-hosted plan, we grant you a subscription-based right to access and use MagicAssist hosted on our infrastructure for the duration of your subscription.

Done-For-You Setup ($499)

This is a one-time service to set up a self-hosted instance on your infrastructure. After setup, you must purchase a self-hosted license ($149/year) to continue using the Service.

Account Registration

To use MagicAssist, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems
  • Use the Service to harass, abuse, or harm others
  • Scrape, spider, or crawl the Service without permission
  • Interfere with the proper functioning of the Service
  • Use the Service to compete with or replicate MagicAssist
  • Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate access for violations.

Payment Terms

Self-Hosted License

  • Price: $149/year (subject to change with 30 days notice)
  • Billing: Annual subscription, billed in advance
  • Auto-Renewal: Unless you cancel, your license auto-renews annually
  • Payment Methods: Credit card, PayPal, or other methods we accept
  • Taxes: Prices exclude applicable taxes; you are responsible for all taxes

Cloud-Hosted Plans

  • Pricing: $49/month, $99/month, $199/month (depending on plan)
  • Billing: Monthly or annual subscription
  • Auto-Renewal: Subscriptions auto-renew unless canceled
  • Overages: Usage exceeding plan limits may incur additional charges

Done-For-You Setup

  • Price: $499 (one-time)
  • Payment: Due before setup begins
  • Scope: Includes VPS provisioning, installation, and basic configuration

Late Payments

Failure to pay on time may result in service suspension or termination. We reserve the right to charge interest on overdue amounts.

Refund Policy

Self-Hosted License

  • 7-Day Refund: Full refund if you request cancellation within 7 days of purchase
  • After 7 Days: No refunds for annual subscriptions
  • Cancellation: You may cancel renewal at any time; access continues until the end of your paid period

Cloud-Hosted Plans

  • Monthly Plans: No refunds; cancellation takes effect at the end of the current billing cycle
  • Annual Plans: Prorated refund available if you cancel within 30 days

Done-For-You Setup

  • No Refunds: Once setup begins, the $499 fee is non-refundable
  • Failed Setup: If we cannot complete setup due to our fault, we will issue a full refund

Intellectual Property

MagicAssist IP

MagicAssist, including its design, features, branding, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws. Your license does not grant ownership.

OpenClaw License

MagicAssist is built on OpenClaw, which is licensed under its own open-source license. You must comply with OpenClaw's license terms when using MagicAssist.

Your Content

You retain ownership of all Content you create or upload. By using the Service, you grant us a limited, worldwide, royalty-free license to:

  • Store, process, and display your Content as necessary to provide the Service
  • Use aggregated, anonymized data for analytics and product improvement

We do not claim ownership of your Content and will not use it for purposes beyond operating the Service without your consent.

AI Model Usage

MagicAssist uses AI models from third-party providers (Anthropic, OpenAI, Google, Zhipu, MiniMax, and others). When you use agents:

  • Your task descriptions and prompts may be sent to AI providers
  • AI providers process your data according to their own terms and privacy policies
  • We are not responsible for how AI providers handle your data
  • You are responsible for ensuring your use of AI models complies with provider terms

Review each AI provider's terms before using their models.

Data and Privacy

Your use of MagicAssist is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

Self-Hosted Deployments

You control your own data. We do not access your data unless you share it for support.

Cloud-Hosted Deployments

Your data is stored on our infrastructure. We have access for maintenance and support. We do not share your data with third parties except as required to operate the Service.

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • System upgrades
  • Technical issues
  • Force majeure events (natural disasters, network outages, etc.)

We will make reasonable efforts to notify you of planned downtime.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability: Fitness for a particular purpose
  • Non-Infringement: That the Service does not infringe third-party rights
  • Accuracy: That Content or AI outputs are accurate or reliable
  • Security: That the Service is free from bugs, viruses, or vulnerabilities

AI outputs are not guaranteed to be accurate, complete, or suitable for your purposes.You are responsible for verifying and validating AI-generated content before using it.

We disclaim all warranties to the fullest extent permitted by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from use or inability to use the Service
  • Damages caused by third-party services (AI providers, hosting, etc.)
  • Damages resulting from unauthorized access to your account

Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so the above may not fully apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless MagicAssist, its affiliates, and its operators from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your infringement of third-party rights
  • Content you create or upload

Termination

By You

You may terminate your account at any time by:

  • Canceling your subscription via the dashboard or billing portal
  • Contacting us at legal@magicassist.co

By Us

We may suspend or terminate your access immediately if:

  • You violate these Terms
  • Your account is used for illegal activity
  • You fail to pay amounts due
  • We cease offering the Service

Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • Cloud-hosted data may be deleted after 30 days
  • Self-hosted licenses become invalid
  • You remain liable for any outstanding payments

Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. You may not use or export the Service in violation of U.S. export laws or any other applicable laws.

Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your Jurisdiction].

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at legal@magicassist.co. We will attempt to resolve the dispute within 30 days.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of [Arbitration Association]. Arbitration will be conducted in [Location].

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or collective proceedings.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Sending an email notification
  • Displaying a notice in the dashboard

Continued use of the Service after changes constitutes acceptance of the updated Terms.If you do not agree, you must stop using the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and MagicAssist regarding the Service.
